Terms of Service & Data Processing Agreement

§ 0 · Seller & Acceptance

These Terms of Service form a binding agreement between you and SellexIo ("SellexIo", "we", "us"), the operator of the SellexIo maritime claims and compliance platform (the "Service"). By creating an account, accessing, or continuing to use the Service you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

§ 1 · Data Ownership, License & Model Training

You retain all right, title, and interest in customer content submitted to the platform (bills of lading, port invoices, AIS telemetry, claim narratives). You grant SellexIo a worldwide, royalty-free, perpetual license to use anonymized, aggregated, de-identified derivatives of such content to train, evaluate, and improve internal models, benchmarks, and industry indices, including the Carrier Risk Score Index. No raw documents, personal identifiers, or shipper-specific commercial terms are used or resold.

§ 2 · Cross-Border Data Transfer

By using the platform you consent to processing and storage in the United States and the European Union under the EU Standard Contractual Clauses (2021/914) and the UK IDTA. Where required, we execute a Data Processing Agreement incorporating GDPR Article 28 obligations. AIS position data is treated as public maritime information under IMO A.917(22).

§ 3 · AI Advisory Disclaimer

Outputs generated by the platform — including arbitration drafts, General Average apportionments, fraud alerts, demurrage forecasts, and speed-adjustment recommendations — are decision support only. They are not legal advice, not a substitute for a qualified P&I club, master mariner, average adjuster, or admiralty counsel, and must be reviewed by a human operator before filing or transmission. SellexIo disclaims liability for any navigational, commercial, or legal decision taken solely in reliance on model output. Model provenance, version, prompt hash and token counts are retained in the audit log for every generation.

§ 4 · Payments, Subscriptions & Merchant of Record

Our order process is conducted by our online reseller Paddle.com Market Limited ("Paddle"). Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to payments and handles returns, refunds, chargebacks, and tax collection.

Subscription fees, billing frequency (monthly or annual), automatic renewal, applicable taxes, currency conversion, invoicing, cancellation mechanics, and refund handling are governed by the Paddle Checkout Buyer Terms in addition to these Terms. Refunds are additionally described in our Refund Policy.

Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time from the in-app billing page or the Paddle customer portal; cancellation stops future renewals and access continues until the end of the current paid period.

§ 5 · Acceptable Use

You may not use the platform to file claims you know to be fraudulent, to spoof AIS identifiers, to circumvent sanctions, or to route data through prohibited jurisdictions. You must not misuse the Service, including by unlawful use, fraud, spam, IP infringement, uploading malware, probing security, or unauthorized scraping. We reserve the right to freeze escrow, suspend or terminate access, and cooperate with regulators where such use is suspected or where you materially breach these Terms, fail to pay, or create a security or fraud risk.

§ 6 · Intellectual Property & Service Level

SellexIo retains all right, title, and interest in the Service, including its software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. The Service is provided on an "as available" basis and we do not guarantee uninterrupted or error-free performance.

§ 7 · Arbitration & Governing Law

Any dispute arising out of or relating to this agreement shall be resolved by binding arbitration under the LMAA Terms 2021, seated in London, before a sole arbitrator. English law governs. Both parties consent to the admission of platform audit logs (ai_audit_log, claim_activities,tos_acceptances) as evidence, and stipulate to their authenticity absent contrary forensic proof.
